The basics

Definitions & parties

ChopNow is a product of Megatek Digital Solutions Ltd ("ChopNow", "we", "us", "our"). These Vendor Terms are the agreement between ChopNow and the business that applies to sell food on the platform (the "vendor", "you", "your"). By applying for, accepting, or using a vendor account, you agree to these terms.

  • ChopNow provides the technology and coordinates delivery. Vendors, not ChopNow, prepare the food and are responsible for its quality, safety, and accuracy.
  • A "branch" is a single approved outlet or kitchen. A business may operate more than one branch, each approved separately.
  • Vendors manage their business through the ChopNow vendor app or the web vendor dashboard. Customers order only in the ChopNow mobile app; riders apply and sign in only in the ChopNow Rider app.
02
Onboarding

Eligibility, application & approval

You apply to sell on ChopNow in the vendor app or the web vendor dashboard. You must provide accurate business, contact, and verification details as part of onboarding.

  • A ChopNow administrator must approve your business and branch before you can accept orders. You cannot sell until that approval is granted.
  • Businesses that operate more than one location are approved per branch. Each branch is reviewed on its own details.
  • Additional review or documentation may be requested where there are safety, fraud, or operational concerns. Approval may be declined or withdrawn.
03
Account use

Vendor accounts & staff

The owner account can create staff sub-accounts with scoped, per-action permissions, so you can delegate day-to-day work without sharing the owner login. This staff system is the supported way to give team members access.

  • The owner remains responsible for everything done under the account, including all actions taken by staff sub-accounts.
  • Do not share your login, or grant access, to unauthorised third parties. Give each team member their own scoped staff account instead.
  • Keep business name, contact details, address, operating schedule, payout details, and profile information accurate and up to date.
  • ChopNow may review account activity, verification records, and operational history where needed.
05
Platform pricing

How the platform markup works

ChopNow applies a platform markup on top of your listed item and add-on prices. This is a standing part of how the platform is priced, not an occasional deduction.

  • The customer pays your listed price plus the markup.
  • You are credited your listed price for the item and its add-ons.
  • ChopNow retains the markup as its service fee.
  • The markup is configurable by ChopNow and may vary by location. The current amount that applies to your branch is reflected in your dashboard pricing.
06
Fulfilment

Order acceptance & fulfilment standards

Accept only orders you can prepare and hand off correctly, then handle them promptly, accurately, and traceably through the ChopNow workflow.

  • Prepare accepted orders in a timely manner and honour scheduled orders at their due time.
  • Do not falsely mark orders ready or mislead riders or customers about preparation progress.
  • Where an issue occurs, use the available support and communication tools promptly.
  • Repeated preparation failures, cancellations, or complaint patterns may trigger review.

Accepting orders. When a paid order reaches you, you have 30 minutes to accept or decline it, and we will remind you when 15 minutes remain. An order that is not accepted in time is cancelled automatically, the customer is refunded in full, and it appears as "Timed out" in your order history. You are not paid for an order that times out.

07
Delivery handoff

Pickup & handoff verification

When an order reaches the pickup stage, you confirm handover to the assigned rider by verifying the rider's pickup code. Accurate handoff is required, and the pickup step also governs when your earnings become withdrawable.

  • Hand over the correct, complete order to the assigned rider.
  • Verify the rider's pickup code honestly; do not misuse confirmation steps, order statuses, or delivery tools.
  • Keep packaging and handoff quality at a professional standard.
08
Earnings

Vendor earnings: two buckets

Your earnings move through two stages, and only the second stage can be withdrawn:

  • Total Earnings accrue when you accept and prepare an order.
  • Withdrawable earnings are unlocked only after a rider has picked the order up. Before pickup, the amount counts toward your total but cannot be withdrawn.
  • Earnings may later be reduced by refunds or adjustments on the relevant order, as explained under refunds.
09
Payouts

Withdrawals & payouts

To withdraw, add and verify a payout bank account. Withdrawals are then subject to the following controls:

  • Each withdrawal must be confirmed with an email OTP sent to the account.
  • Withdrawals are subject to a configurable minimum amount, a maximum amount, and a daily limit on the number of requests.
  • A transfer fee applies and varies by amount; it is deducted before the payout is sent.
  • ChopNow may pause withdrawals for an individual account or platform-wide, for example during disputes, unusual activity, or maintenance.
  • Approved payouts are sent to your verified bank account through our payment providers.
10
Promotions

Vendor-funded promotions

Coupons and combo deals you choose to run are funded by you, not by ChopNow.

  • The discount from a coupon or combo reduces your payout for that order.
  • The platform markup is unaffected by your promotions.
11
Adjustments

Refunds, reversals & adjustments

When a refund is approved on one of your orders, your earnings are adjusted to reflect it. How the adjustment is applied depends on the stage the order reached.

  • Adjustments are made in line with whether the order was refunded before or after rider pickup.
  • A completed order can only be partially refunded.
  • A refund or reversal may reduce your Total Earnings, your withdrawable earnings, or both, depending on where the funds sit at the time.
12
Conduct

Conduct, anti-fraud & food safety

Food safety is the vendor's responsibility. You must prepare, package, and store food in line with applicable health and safety standards, and act professionally toward everyone on the platform.

  • Communicate professionally with customers, riders, support staff, and admin teams. Harassment, abuse, intimidation, threats, or fraudulent conduct are not allowed.
  • Do not manipulate order events to increase payouts, or misuse refunds, delivery codes, coupon systems, or off-platform payment requests.
  • Do not submit fake documents, false complaints, or manipulated transaction records.
13
Privacy

Data protection & privacy

ChopNow handles personal data in line with the Nigeria Data Protection Act and the oversight of the Nigeria Data Protection Commission (NDPC).

  • You may use customer data shared through the platform only to fulfil the relevant order. Do not retain, reuse, or share it for any other purpose.
  • Keep any customer information you handle secure, and do not contact customers off-platform for marketing.
  • Data-protection questions and requests can be sent to [email protected].
14
Enforcement

Suspension, freeze, termination & offboarding

ChopNow may investigate vendor activity and, where fraud, operational risk, repeated service failure, safety concerns, or policy violations are identified, may issue warnings, apply restrictions, pause withdrawals, freeze access, or permanently remove the account.

  • On suspension, freeze, or termination, pending earnings and open withdrawals may be held while any outstanding orders, disputes, refunds, or adjustments are resolved.
  • Legitimately earned, withdrawable balances remaining after that resolution are payable to your verified bank account, subject to the withdrawal controls above.
  • Account and order records may be retained for the period required for legal, tax, accounting, and fraud-prevention purposes before deletion.
15
Liability

Limitation of liability & indemnity

The platform is provided on a reasonable-effort basis. No system is completely secure, and we do not guarantee uninterrupted or error-free service. To the extent permitted by law, ChopNow is not liable for indirect or consequential losses, or for losses arising from your food, your handling of orders, or events outside our reasonable control.

Because vendors prepare the food, you are responsible for claims arising from the quality, safety, or accuracy of your items, and you agree to cover ChopNow against claims that result from your breach of these terms or from your food-safety obligations.

16
Legal

Governing law & disputes

These terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the jurisdiction of the Nigerian courts. Where possible, we ask that you first raise any dispute with us through vendor support so it can be resolved directly.

17
Updates

Changes & effective date

Effective date: 16 September 2026.

We may update these terms from time to time to support platform operations and legal requirements. The current version always governs. Continued use of your vendor account after an update takes effect means you accept the revised terms. Material changes are notified in-app or by email.
